Step-by-Step Guide: How to Register Your Business with SSM in Malaysia

Starting a business in Malaysia is an exciting venture, but before you can officially operate, you must register your business with the Companies Commission of Malaysia (SSM). This process ensures your business is legally recognized, compliant with regulations, and eligible for business banking, government incentives, and contracts.

In this guide, we will walk you through the entire process of registering your business with SSM, covering the different business structures, documentation requirements, and step-by-step procedures to get your company up and running.

 

1. Choose Your Business Structure

Before you start the registration process, it's crucial to decide on the type of business entity that suits your goals and operations. The main types of business structures in Malaysia are:

a) Sole Proprietorship

  • Owned and managed by one individual.

  • Suitable for small-scale operations.

  • Profits are taxed at the personal income tax rate of the owner.

  • Low registration and maintenance costs.

b) Partnership

  • Owned by two or more individuals (up to 20 people).

  • Partners share responsibilities, liabilities, and profits.

  • Not a separate legal entity; partners are personally liable for debts.

c) Private Limited Company (Sdn. Bhd.)

  • A separate legal entity with limited liability.

  • Requires at least one director and one shareholder, who can be the same person.

  • More complex structure but provides better protection for personal assets.

  • Must comply with annual reporting and auditing requirements.

d) Limited Liability Partnership (LLP)

  • A hybrid structure combining the flexibility of a partnership with the benefits of limited liability.

  • Suitable for professional services like law firms or accounting firms.

 

2. Prepare the Required Documents

To register your business with SSM, you need to have the following documents ready:

For Sole Proprietorship or Partnership:

  • Business Name Registration Form (Form PNA.42)

  • Copy of IC (Identity Card) for Malaysian citizens or passport for foreigners

  • Business Address Proof (e.g., tenancy agreement or utility bill)

  • Owner's Signature on the application form

For Private Limited Company (Sdn. Bhd.):

  • Superform (Section 14) – This form includes company name, business nature, address, and director details.

  • Copy of Directors’ and Shareholders’ IC or Passport

  • Company Constitution (optional) – If you want specific company rules.

  • Statutory Declaration (Form 48A) – Confirming the director’s consent and eligibility.

For Limited Liability Partnership (LLP):

  • LLP Registration Form

  • Partners’ IC or Passport Copies

  • Business Address Proof

 

3. Choose and Reserve Your Business Name

Before proceeding, you need to select a unique name for your business. SSM requires the name to be:

  • Not identical or confusingly similar to an existing business name.

  • Appropriate and professional, avoiding sensitive or offensive words.

  • Compliant with SSM guidelines, especially for words like "Malaysia," "National," or "Royal," which require special approval.

You can check the availability of your desired business name via the SSM e-Lodgement Portal. If the name is available, you can reserve it for 30 days for a fee of RM50.

4. Register Your Business with SSM

Now that your business name is approved, you can proceed to register your business online:

Option 1: Online Registration (MyCoID Portal)

  1. Visit the SSM e-Lodgement Portal at https://mycoid2016.ssm.com.my.

  2. Create an account if you don’t have one.

  3. Fill out the necessary details:

    • Business name

    • Type of business (Sole Proprietorship, Partnership, Sdn. Bhd., or LLP)

    • Business address

    • Director and shareholder information

  4. Upload the required documents.

  5. Make payment for the registration fee:

    • Sole Proprietorship: RM30 (own name) or RM60 (trade name)

    • Partnership: RM60

    • Private Limited Company (Sdn. Bhd.): RM1,000

    • LLP: RM500

  6. Submit your application.

 

Option 2: Walk-In Registration

You can also register at any SSM branch. Bring along your documents and complete the forms at the counter. Payments can be made on-site.

5. Obtain Your Business Registration Certificate

Upon successful registration, you will receive:

  • Business Registration Certificate (Form D) for Sole Proprietorship or Partnership.

  • Certificate of Incorporation (Form 9) for Private Limited Companies (Sdn. Bhd.).

  • Certificate of Registration for LLPs.

These documents are crucial as they are proof that your business is legally established.

6. Register for Tax and Licenses

Once your business is registered, you need to:

  • Register with LHDN (Inland Revenue Board) to obtain a Tax File Number.

  • If your business revenue exceeds RM500,000, you must register for Sales and Services Tax (SST).

  • Apply for any local council licenses if required (e.g., F&B licenses, trading licenses).

7. Open a Business Bank Account

To operate financially, open a business bank account under your registered business name. The bank will typically require:

  • Business Registration Certificate

  • Director’s/Owner’s IC or Passport

  • Company Resolution (if Sdn. Bhd.)

  • Business Address Proof

 

8. Annual Compliance Requirements

Depending on your business structure, you may need to:

  • Renew your business license annually for Sole Proprietorship and Partnerships (RM30–RM60 per year).

  • Submit annual returns and audited financial statements for Sdn. Bhd.

  • Maintain proper financial records for tax filing and inspection.
